Winnebago Buys SunnyBrook RV

WINNEBAGO INDUSTRIES ANNOUNCES SUNNYBROOK PURCHASE

- $5.7 Million Acquisition -

FOREST CITY, IOWA, December 29, 2010 - Winnebago Industries, Inc. (NYSE:WGO), a leading United States (U.S.) motor home manufacturer, today, through a newly formed, wholly-owned subsidiary, Winnebago of Indiana, LLC, consummated the purchase of substantially all of the assets of SunnyBrook RV, Inc. (a wholly-owned subsidiary of SunnyBrook Manufacturing, Inc.) pursuant to an Asset Purchase Agreement for a total cost of $5.7 million in cash.

Winnebago of Indiana will continue to manufacture towable products under the SunnyBrook brand and honor outstanding warranty commitments to current owners. In addition, the Company plans to diversify the product line to include Winnebago brand trailer and fifth wheel products. Elvie Frey, the president and majority owner of SunnyBrook Manufacturing, will remain with the company and serve as President of Winnebago of Indiana.

It's nice to see Winnie stand behind the brand and warranties and not take the opportunity to turn their backs on Sunnybrook owners.

Cancellation of warranty contracts generally only arises when bankruptcies are involved and the obligations are discharged by the bankruptcy court. Such was not the case in this acquisition.

Ken, That's funny. Don't laugh if you see something like that coming down the road. Now what would be weird is to see a travel trailer of a fifth wheel with a BIG W on the side of it.

The reality is that no matter where you look towables are probably going to sell at about a 5 to 1 ratio or better I am guessing. If we went to the RVDA website and saw the amount of towables vs motorized units being delivered you might be able to say that you're not even close.

So here's a company that was founded on the travel trailer business going full circle and resuming a presence in the towables industry. I think it's a timely move and a way to get more market share. Thor industries makes a killing at this and whatever money is left on the table from Fleetwood getting out of the towables business I expect that Winnebago will be there to pick up that business and more.

Having a Winnebago in the business should be good for the towables segment because now everybody has to pickup their game to even be more competitive.

We probably should not expect SunnyBrook to remain exactly in their current niche for long because with the resources that Winnebago Industries has you could wind up with a towable model that has all the amenities of an Itasca Ellipse! Fifth Wheels like the Teton were awesome and something like that could make a big comeback if it's done right. For the time being I don't expect that they will stray very far from the core models that comprise the product line at SunnyBrook.

The 2011 line of Sunnybrook towables looked interesting to me when I saw them at the RVIA Exposition. Below is a picture of Mr. Elvie J. Frey Sr., President, Winnebago of Indiana (Right). Never saw the other guy before.

This has to be a big plus for Hoosiers. I am happy to see Winnie get into the towable business. I think that is the direction of RV's, albeit I am a M/H owner.

This could prove very interesting for future GNR Parking Teams. We are going back in 2011 for our second parking tour, MH's are enough of a challenge.

It's nice to see Winnie aquire a towable division, keeps the bases covered. I suspect that when the new owners of Fleetwood took the reins, they didn't have the capital to support the entire product line, or they felt the towables were "damaged goods".
